1. Introduction
This Merchant Service Agreement (“Agreement”) sets out the terms under which Lubr Delivery (“we”, “our”, “us”) provides last‑mile delivery, logistics, and technology services to retail and wholesale merchants (“Merchant”, “you”, “your”).
By registering as a Merchant, accessing the Merchant Portal, or using any Lubr Delivery services, you agree to be bound by this Agreement.
2. Definitions

Services — Delivery, logistics, tracking, merchant tools, integrations, and technology provided by Lubr Delivery.

Merchant Portal — The online dashboard used to manage orders, payouts, and account settings.

Customer — The end‑user purchasing goods from the Merchant.

Rider/Driver — Independent contractors engaged by Lubr Delivery to complete deliveries.

Order — A delivery request submitted through the Merchant’s website, QR code, API, or Lubr Delivery system.
3. Merchant Eligibility & Obligations
To use Lubr Delivery, the Merchant must:

Hold a valid ABN/ACN

Provide accurate business, banking, and compliance information

Ensure all products sold are legal and compliant with Australian law

Maintain accurate stock levels and order information

Package goods securely and safely for transport

Comply with age‑restricted product laws (where applicable)

Ensure staff are trained to hand over orders promptly to riders
The Merchant is responsible for the accuracy of all order details submitted to Lubr Delivery.
4. Services Provided by Lubr Delivery
Lubr Delivery provides:

On‑demand and scheduled last‑mile delivery

Real‑time tracking and customer notifications

Merchant Portal access

API, HTML embed, and QR code integration options
-
Rider/driver network management
-
Settlement and payout processing

Customer support for delivery‑related issues
We may update or modify the Services at any time.
5. Fees & Billing
5.1 Delivery Fees
Merchants agree to the delivery fees applicable to their plan, which may include:

Per‑delivery fees

Subscription fees (if applicable)

Transaction or processing fees

Surcharges for peak times, long distances, or special handling
Fee schedules are provided during onboarding and may be updated with notice.
5.2 Subscriptions
If the Merchant selects a subscription plan, monthly fees are billed automatically until cancelled.
5.3 Payment Processing
Lubr Delivery may use third‑party payment processors. The Merchant agrees to their terms and any associated fees.
6. Payouts & Settlements

Payouts are made to the Merchant’s nominated bank account.

Settlement times may vary depending on banking providers.

Lubr Delivery may withhold funds in cases of disputes, fraud investigations, or chargebacks.

The Merchant is responsible for ensuring correct banking details.
7. Order Fulfilment & Delivery
7.1 Merchant Responsibilities
The Merchant must:

Prepare orders promptly

Ensure packaging is secure, sealed, and compliant

Provide accurate pickup details

Ensure staff are available for rider pickup
7.2 Delivery Windows
Delivery times are estimates only. Delays may occur due to traffic, weather, or rider availability.
7.3 Failed Deliveries
A delivery may be marked as failed if:

The customer is unavailable

The address is incorrect

ID cannot be verified
-
Delivery is unsafe or restricted
Redelivery or cancellation fees may apply.
8. Product Compliance & Restrictions
The Merchant must not send:

Illegal or prohibited goods

Dangerous or hazardous materials

Items requiring specialised transport

Incorrectly packaged or leaking items
Lubr Delivery may refuse or cancel deliveries that breach compliance.
9. Technology & Integrations
Merchants may use:

QR code ordering

Tracking links

API or HTML embed integrations

Merchant Portal tools
The Merchant must not:

Reverse engineer or copy Lubr Delivery systems

Misuse the platform

Attempt to bypass security

Use the Services for unlawful purposes
10. Customer Experience & Communication
Lubr Delivery handles:

Delivery notifications

Tracking updates

Rider communication

Delivery‑related customer support
The Merchant remains responsible for:

Product quality

Order accuracy
-
Refunds and returns
-
Customer service unrelated to delivery
11. Liability
To the maximum extent permitted by law, Lubr Delivery is not liable for:

Loss of profits or business

Delays outside our control

Damage caused by improper packaging

Incorrect information provided by the Merchant

Loss or damage caused by third‑party contractors
Our total liability is limited to the delivery fee for the affected order.
12. Indemnity
The Merchant agrees to indemnify Lubr Delivery against claims, losses, or damages arising from:

Breach of this Agreement

Misuse of the Services

Illegal or non‑compliant products

Incorrect or misleading order information

Packaging failures
13. Termination
Lubr Delivery may suspend or terminate Merchant access for:

Breach of this Agreement

Non‑payment of fees
The Merchant may terminate their account at any time by written notice.
14. Confidentiality
Both parties agree to keep confidential:

15. Privacy
Personal information is handled in accordance with our Privacy Policy. The Merchant agrees to comply with all applicable privacy laws.
16. Changes to This Agreement
We may update this Agreement from time to time. Continued use of the Services constitutes acceptance of the updated terms.
17. Governing Law
This Agreement is governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of Victoria.
